Terms and Conditions

1. Build-to-Print & No-Touch Policy

Express Fab USA LLC operates as a strictly Direct-Data Manufacturer. By placing an order, the Customer acknowledges and agrees to the following:

• Data Priority: We assemble boards based solely on the provided XY (Pick-and-Place) coordinate data. We do not infer component orientation from silkscreen, polarity markers, or external text files.
• No Manual Review: Our automated process does not check for designer errors, including but not limited to reversed diodes, incorrect footprints, or electrical shorts in the design files.
• Build as Designed: We build "as designed," not "as intended." 100% of design intent must be contained within the Gerber and Centroid data.

2. On-the-House Program

The On-the-House program provides specific SMT passives at no charge under the following conditions:

• Inventory Variability: The list of qualifying components is subject to change without notice based on stock availability and manufacturer supply.
• Modification: Express Fab USA reserves the right to modify, suspend, or discontinue this program at any time.
• Compatibility: Savings are only applied when our automated system successfully matches a BOM entry to a "House Library" part. Manual requests for OTH credits will not be entertained.

3. Quotes & Payments

• Instant Estimates: Estimates provided by the web calculator are non-binding. Final pricing is determined only after file upload and system verification.
• Component Sourcing: For all non-OTH parts, we source exclusively from authorized distributors. Market price fluctuations at the time of procurement may affect final billing.
• Standard Payment: Full payment is required via credit card at the time of order. Authorization & Capture: Upon submission, a temporary authorization is placed via Stripe for the full amount. We do not "Capture" (finalize) the payment until manufacturability and component availability are verified, typically by EOD.
• Net 30 Credit Accounts: Approved B2B, Educational, and Government entities may checkout using a Purchase Order (PO). These accounts are exempt from credit card authorization at checkout and are governed by our Net 30 Supplemental Terms. Failure to maintain an account in good standing may result in the immediate suspension of production.

4. Software & Automated Tools

Express Fab USA LLC provides proprietary software tools, including but not limited to our Instant Quoting Engine, and Automated DFM (Design for Manufacturing) checks. Use of these tools is subject to the following terms:

• "As-Is" Provision: All software and automated tools are provided on an "as-is" and "as-available" basis. While we strive for 100% platform uptime and data accuracy, Express Fab USA does not guarantee that the software will be error-free, uninterrupted, or perfectly accurate at all times.
• Right to Modify: We reserve the exclusive right to modify, update, or discontinue any software feature, pricing algorithm, or tool without prior notice.

5. Quality & Warranty

Express Fab USA LLC warrants that the product will conform to the Customer’s provided data and will be free from assembly defects (e.g., cold solder joints, missing components) for 30 days from delivery.

• Exclusions: We are not liable for design failures, functional errors, or components that fail due to improper design parameters.
• Inspection: We utilize AOI and Visual Inspection. We do not provide X-Ray inspection or functional testing unless specifically quoted.
• Remedy: Our sole liability is limited to the repair or replacement of the non-conforming assembly.

6. Shipping, Tariffs & Jurisdiction

• FOB Origin (Lexington, KY): All orders are sold "FOB Origin." This means the title of the goods and the risk of loss pass to the Customer at our shipping dock the moment the carrier accepts the package.
• Shipping Costs: Unless otherwise agreed, shipping is "Prepaid and Add" (we pay the carrier and bill you) or "Collect" (billed to your account).
• Insurance: We do not provide transit insurance beyond the carrier’s standard liability. Customers desiring full-value protection for high-value PCBA orders should arrange their own transit insurance or request a quote for additional coverage prior to shipment.
• No-Tariff Guarantee: As a domestic manufacturer, we do not bill for international import tariffs on assembled boards.
• Governing Law: These terms are governed by the laws of the Commonwealth of Kentucky. Disputes shall be settled in the courts of Fayette County, KY.

8. Net 30 Credit Terms

Net 30 terms are available to qualified corporate, educational, and government entities upon successful credit review.

• Invoicing: For approved accounts, the 30-day payment clock begins on the ship date, not the order date or the date of receipt.
• Payment Method: All Net 30 invoices must be paid by electronic bank transfer (wire or ACH credit). Payment instructions are provided on each invoice. Credit card payments are not accepted for Net 30 balances unless prior written authorization is granted (subject to a processing surcharge).
• Late Fees: Past-due balances are subject to a service charge of 1.5% per month (18% per annum) or the maximum rate permitted by law.
• Procurement Hold: For Net 30 orders, Express Fab USA reserves the right to delay component procurement until a valid Purchase Order (PO) is uploaded and verified.
• Revocation: We reserve the right to revoke credit privileges at any time if payment history becomes irregular.
